These Terms of Service constitute a legally binding agreement between you and Company (together with its affiliates, "Company”, "we,” "our” or "us”) governing your use of our products, services, and website (the "Site” and collectively with the foregoing, the "Services”).

PRIVACY POLICY & LEASE AGREEMENT

Your use of the Services is also governed by our Privacy Policy and the applicable Lease Agreement. In the event of a conflict between the Lease Agreement and these Terms, these Terms will control.

IMPORTANT NOTICE: ARBITRATION AND CLASS ACTION WAIVER

These Terms include a binding arbitration clause and a class action waiver in Section 13. Please read it carefully as it affects your legal rights.

1. OUR SERVICES

We provide an online marketplace for leasing equipment and supplies, which may include tools, construction equipment, vehicles, and event rentals.

2. ACCOUNT, PASSWORD, AND SECURITY

You must create an account and provide accurate information to use our Services. You are responsible for all activity under your account and must notify us of any unauthorized use. Account ownership cannot be transferred.

3. BILLING AND PAYMENT

Payments may be processed through a third-party provider ("PSP"). You agree to their terms as well. Prices are in USD and exclude applicable taxes.

4. USER GENERATED CONTENT

You are responsible for any content you submit to the Services. By submitting, you grant us a license to use your content as necessary to operate and promote our Services. You agree not to post anything false, harmful, illegal, or infringing.

5. REPRESENTATIONS AND WARRANTIES

You confirm that you are of legal age and authorized to use the Services. You agree to act lawfully and refrain from prohibited conduct, including attempting to compromise system security or violate others’ rights.

6. TERMINATION

Either party may terminate these Terms at any time. We may suspend or terminate your access if you violate these Terms. Termination does not relieve you of any obligations incurred prior to termination.

7. THIRD-PARTY LINKS

We may provide links to third-party websites. We are not responsible for their content or practices, and you use them at your own risk.

8. INTELLECTUAL PROPERTY

All content on the Services (excluding your User Content) is owned by us or our partners. You may not use any of it without our written permission.

10. CONFIDENTIALITY

You agree to keep all Confidential Information disclosed to you confidential and not misuse it.

11. DISCLAIMERS

The Services are provided “as is” without warranties of any kind. We do not guarantee uninterrupted access or that the content is accurate or error-free.

12. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims or liabilities arising from your use of the Services or violation of these Terms.

13. DISPUTE RESOLUTION – ARBITRATION & CLASS ACTION WAIVER

You agree to resolve any disputes through binding arbitration (except for small claims) and waive the right to participate in class actions. Arbitration will be governed by the AAA Rules and take place in San Francisco, California, unless agreed otherwise.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Michigan, excluding conflict of law principles.

15. RELATIONSHIP OF THE PARTIES

No joint venture, partnership, employment, or agency relationship is created as a result of these Terms.

16. GENERAL PROVISIONS

This Agreement is the entire agreement between you and us. If any part is invalid, the rest remains enforceable. We may assign this Agreement without notice.

17. CHANGES TO TERMS OR SERVICES

We may update these Terms or the Services at any time. Continued use after changes means you accept the updated Terms.

18. THIRD-PARTY RIGHTS

These Terms do not create any rights for third parties to enforce.

19. ELECTRONIC COMMUNICATIONS

You consent to receive all Notices electronically, including via email or through the Site.
